Kadokawa has confirmed receiving an initial letter of intent.
Sony Group is currently in preliminary discussions regarding the potential acquisition of the Japanese media conglomerate Kadokawa. The primary strategic objective behind this move is to bolster Sony’s entertainment portfolio by securing ownership of high-value intellectual properties, most notably those held by Kadokawa’s subsidiary, FromSoftware, the developer behind the critically acclaimed Elden Ring and Dark Souls franchises.
Kadokawa has officially acknowledged receiving an initial letter of intent from Sony, though the company emphasized that no formal decisions have been reached regarding a transaction. While financial terms remain undisclosed, Kadokawa currently maintains a market capitalization of approximately $2.7 billion. FromSoftware remains a significant asset within the conglomerate, contributing over 60% of Kadokawa’s total video game revenue in the fiscal year ending March 31, 2024, despite a 29% year-over-year decline in studio revenue to $103.2 million.
The potential acquisition reflects a deepening of a long-standing partnership between the two entities, which dates back to the 1990s. Sony already holds a 2% stake in Kadokawa and a 14.09% stake in FromSoftware, the latter of which was acquired in 2022 to support the studio's global publishing and IP development capabilities. Should the acquisition proceed, it would represent a significant consolidation of Japanese gaming assets, potentially altering FromSoftware’s existing distribution model, which currently relies on various third-party publishers for international markets. The situation remains fluid, with further updates expected as negotiations progress.
