This follows the conversion of a £250,000 loan into 66,666,667 new ordinary shares. The transaction provides working capital for Guild Esports.
Recent regulatory filings from London-based Guild Esports have identified Vinod Koshny as the chairman of Compassare Holdings, a Dubai-based investment firm. This disclosure follows the conversion of a £250,000 convertible loan into 66,666,667 new ordinary shares of the esports organization. As a result of this transaction, Compassare Holdings now controls 8.28% of the voting rights in Guild Esports.
The financial arrangement originated from a loan agreement established to provide working capital for the organization. Under the terms, the principal was converted at a price of £0.00375 per share, representing a 25% premium over the company’s share price as of March 28, 2024. Guild Esports is currently in the process of preparing and publishing a new prospectus to facilitate the formal issuance of these shares, as the company currently lacks the necessary regulatory headroom to complete the transaction.
Guild Esports, which maintains a minority investment from David Beckham, continues to operate across several competitive titles, including Counter-Strike 2, EA FC 24, and Fortnite. The organization is also participating in the Esports World Cup Club Support Program, further integrating its operations with international gaming initiatives. This development highlights the ongoing efforts of the London-based entity to secure liquidity and manage its capital structure through strategic investment partnerships.
