Super League Enterprise, Inc. is set to become a majority-owned subsidiary of the Tokyo-listed firm Metaplanet, Inc. following a definitive agreement announced in August 2026. Under the terms of the deal, Metaplanet will acquire approximately 95.7% of Super League through a capital contribution of 2,100 bitcoin—valued at roughly $132.1 million—and $2.5 million in cash. The transaction, which effectively ends Super League’s independent public-market tenure, will result in the company being renamed Superplanet, Inc. and will grant Metaplanet control over the board of directors.
The deal significantly dilutes existing shareholders, reducing their collective stake to approximately 0.5% once warrants and preferred stock are accounted for. This shift occurs only months after Super League acquired the advertising business of Misfits Gaming Group in May 2026. That earlier transaction, which granted Misfits an equity stake in Super League, has been rendered largely nominal by the subsequent Metaplanet investment. The restructuring involves complex financial maneuvering, including the lifting of ownership caps for major stakeholders and the issuance of significant new common stock.
The agreement reflects a broader trend of small, publicly traded esports companies pivoting toward digital asset strategies to maintain liquidity. Super League, which has seen its original esports community and content platform business diminish, will continue to operate its advertising and media activation division as a distinct segment. The transaction is expected to close in the fourth quarter of 2026, pending regulatory approvals and shareholder consent, marking a transition from an amateur esports-focused entity to a vehicle for Metaplanet’s bitcoin-centric treasury strategy.
