Nippon Ichi Software will hold its 33rd Ordinary General Meeting of Shareholders on June 25, 2026. This meeting is for the formal ratification of proposed board and auditor appointments.
Nippon Ichi Software has announced proposed changes to its corporate governance structure, specifically regarding the appointment of directors and auditors for the upcoming fiscal year. These nominations were finalized during a board meeting on May 15, 2026, and are scheduled for formal ratification at the 33rd Ordinary General Meeting of Shareholders on June 25, 2026. The primary objective of these adjustments is to solidify the company’s leadership and oversight framework as it enters its next operational term.
The proposed slate maintains continuity within the executive ranks, with key figures including Chairman Koichi Kitazumi and President Kenzo Saruhashi slated for reappointment. The board also intends to retain existing directors Yoshinori Tatani, Michi Hiraoka, and external director Akito Goto. Regarding audit functions, Toshiro Shimizu is nominated for reappointment as a full-time auditor, while Takeshi Kato is proposed as a new external auditor. Kato brings extensive experience from the financial sector, having previously served in executive roles at Juroku Financial Group and Juroku Bank, and currently holding the position of Executive Director at the Gifu Chamber of Commerce and Industry.
The scope of these changes covers the entirety of the company’s board and audit committee, ensuring that both internal management and external oversight roles are filled. Additionally, the company has confirmed the reappointment of Koichi Kitagawa as a substitute candidate for both director and auditor positions. This transition reflects a strategic focus on maintaining stable leadership while integrating experienced external expertise to enhance corporate governance standards within the Japanese gaming industry.
