Embracer Group
Embracer Group has finalized the divestment of Gearbox Entertainment to Take-Two Interactive Software, Inc. for a total consideration of USD 460 million. This transaction serves as a pivotal component of a broader corporate restructuring program aimed at transforming the organization into a leaner, more focused entity. By shedding these assets, the company seeks to significantly lower its net debt, reduce earnout obligations, and improve overall free cash flow generation. The divestment is expected to close in the first quarter of the 2024/2025 fiscal year.
The financial structure of the deal involves a payment of 100% in newly issued Take-Two shares, which Embracer intends to liquidate for cash shortly after closing. Following necessary adjustments for transaction costs and earnout settlements, the anticipated net cash proceeds range between SEK 3.2 billion and 3.5 billion. Furthermore, the agreement reduces cash earnout obligations by approximately SEK 1.6 billion and eliminates roughly 18 million B shares from share earnout commitments. The transaction also lowers annual capital expenditure by approximately SEK 0.8 billion, based on Q3 FY 2023/24 run-rates.
While the divestment includes major intellectual properties such as the Borderlands, Tiny Tina’s Wonderlands, and Homeworld franchises, Embracer retains specific assets, including Gearbox Publishing San Francisco, Lost Boys Interactive, and Cryptic Studios. These retained entities, which hold rights to titles like the Remnant franchise and Neverwinter Online, will be integrated into other segments of the group. Financial data from the 2023 calendar year indicates that the divested assets accounted for 3.9% of group net sales and 12.1% of total capital expenditure, underscoring the strategic shift toward a more efficient operational model with reduced business risk.
