Embracer Group is undergoing a fundamental corporate restructuring to split into three independent, publicly listed entities on Nasdaq Stockholm. This strategic transformation aims to unlock shareholder value by allowing each business unit to operate with greater focus, transparency, and agility. The move follows a comprehensive restructuring program initiated in late 2022, designed to stabilize the organization after a period of rapid, debt-fueled expansion.
The new corporate structure divides the company’s diverse portfolio into three distinct pillars. Asmodee Group will function as a standalone tabletop gaming publisher with an extensive catalog of over 300 intellectual properties. Coffee Stain & Friends will focus on indie and A/AA premium and free-to-play titles for PC, console, and mobile, emphasizing high-margin, recurring revenue streams. Finally, Middle-earth Enterprises & Friends will serve as a AAA development and publishing powerhouse, managing high-profile franchises such as The Lord of the Rings and Tomb Raider.
Financial data for the twelve-month period ending December 2023 highlights the scale of these entities, with combined net sales of 39.7 billion SEK and an adjusted EBITDA of 10.4 billion SEK. To facilitate this transition, the company has secured a 900 million EUR financing agreement at the Asmodee level to refinance existing debt. Each entity will maintain its own leadership team and operational headquarters, with parent company functions remaining in Karlstad, Sweden. The separation process, which includes a Lex ASEA dividend, is expected to be completed within twelve months, subject to shareholder approval and customary closing conditions. This realignment is intended to optimize capital expenditure, improve accountability, and provide a clearer investment profile for each business segment.
