The transaction values the subsidiary at $4.3 billion post-investment.
Ubisoft has announced the formation of a new dedicated subsidiary designed to manage and evolve its flagship intellectual properties, including the Assassin’s Creed, Far Cry, and Tom Clancy’s Rainbow Six franchises. This strategic move is supported by a significant financial investment from the Chinese conglomerate Tencent, which is contributing approximately $1.25 billion USD for a 25% economic interest in the new entity. The transaction values the subsidiary at $4.3 billion post-investment.
The primary objective of this new entity is to revitalize Ubisoft’s core franchises by enhancing narrative solo experiences, expanding multiplayer content, and integrating free-to-play elements and social features. To facilitate this, Ubisoft is granting the subsidiary a worldwide, exclusive, and perpetual license to the relevant intellectual properties, subject to a royalty arrangement. The subsidiary will consolidate existing development teams and studios currently working on these titles, operating under a dedicated leadership team with oversight from Ubisoft’s Board of Directors.
The agreement includes specific governance protections for Tencent, such as minority veto rights and consent rights regarding significant asset disposals. Furthermore, the deal features a five-year lock-up period for Tencent’s shares, alongside defined call and put options triggered by specific change-of-control conditions. While the transaction is subject to regulatory and shareholder approval and is expected to close by the end of 2025, the impact on Ubisoft’s global workforce of 19,000 employees remains unconfirmed. This restructuring represents a broader effort by the publisher to strengthen its balance sheet and align its creative output with shifting market demands.
