NODWIN Gaming, a subsidiary of India-based Nazara Technologies, has entered into an agreement to provide a €3.6 million (approximately $3.9 million USD) convertible note to Berlin-based esports marketing and tournament organization firm Freaks 4U Gaming. The transaction, finalized in late December 2023, is intended to facilitate a strategic partnership between the two entities, with a specific focus on enhancing NODWIN’s capabilities within the PC gaming sector.
The convertible note structure allows for the potential conversion of the loan into 7,366 shares of Freaks 4U Gaming at a future date. Based on the company’s current total of 104,764 outstanding shares, this valuation implies an approximate enterprise value of €51.2 million ($56.3 million USD) for the German firm. The investment arrives as Freaks 4U Gaming navigates a period of financial restructuring, which has included recent workforce reductions and the divestment of certain tournament licenses, such as the Northern League of Legends Championship.
Leadership from both organizations have expressed interest in exploring operational synergies and collaborative opportunities. While the specific terms of the conversion remain subject to future conditions, the deal represents a significant cross-regional investment aimed at consolidating resources and expertise in the global esports market. The agreement underscores a broader trend of strategic consolidation and capital injection within the competitive gaming industry as companies seek to stabilize operations and expand their service offerings.
