The Illinois-based gaming company aims to acquire assets from the Canada-based firm, including intellectual property and social media channels.
Illinois-based gaming and esports company Midnight Gaming has entered into a letter of intent to acquire assets from the Canada-based firm TGS Esports. The proposed transaction is valued at approximately $18 million USD and involves the transfer of intellectual property, social media channels, website domains, and various gaming and audiovisual equipment. Additionally, Midnight Gaming intends to retain select TGS staff and assume certain existing contractual obligations.
The deal remains subject to regulatory and shareholder approval, as well as the successful completion of due diligence. Notably, the $18 million valuation significantly exceeds the current market capitalization of TGS Esports, which stands at approximately $5.63 million USD. This development follows a previous, non-binding term sheet signed in January 2023 that had initially valued the acquisition at $13.82 million. The rationale behind the increased valuation remains unclear, particularly given that TGS Esports has experienced zero trading volume since February 2022 and ceased regulatory filings with the Canadian Securities Administrators at the end of 2023.
TGS Esports historically operated as a full-service marketing and event provider, managing venues such as The Gaming Stadium in Richmond, British Columbia, as well as various tournament platforms and scholastic esports properties. Midnight Gaming, which operates the web-based Gaming Television (GTV) network, aims to integrate these assets into its existing media and entertainment portfolio. The acquisition represents a continued effort by Midnight Gaming to consolidate specific esports infrastructure and brand assets within the North American market.
