Resolutions Adopted at the Extraordinary General Meeting of PCF Group S.A.
The Extraordinary General Meeting of PCF Group S.A., held on December 11, 2023, in Warsaw, resulted in the adoption of several key resolutions primarily focused on the company’s internal governance and compensation structures. Representing approximately 60.39% of the share capital, the assembly confirmed the appointment of the meeting chair and approved the formal agenda. A notable procedural decision included the waiver of a dedicated scrutiny committee, as the company utilized an electronic voting system to manage the 21,702,576 valid votes cast during the session.
The primary financial outcomes of the meeting involve significant adjustments to the remuneration of the Supervisory Board and the Audit Committee, effective January 1, 2024. Under the new compensation framework, the Chairman of the Supervisory Board will receive a monthly salary of 3,000 PLN, while other members will receive 2,500 PLN. Additionally, all board members are entitled to a supplemental payment of 1,500 PLN for each meeting attended. These figures replace the previous compensation standards established in June 2020.
Further resolutions established specific pay scales for the Audit Committee. The Chairman and members with specialized accounting or financial auditing expertise will receive 2,000 PLN monthly, while other committee members will receive 1,500 PLN. Participation in Audit Committee meetings will be compensated with an additional 2,000 PLN per session. These adjustments reflect the company's updated approach to rewarding oversight functions within its corporate structure as it moves into the 2024 fiscal year. All resolutions were passed with overwhelming support, with only a marginal number of dissenting votes recorded regarding the compensation changes.
