See it on page 2Embracer Group has finalized the complete cessation of its operations within Russia through the divestment of selected assets from its Saber Interactive operative group. This strategic move is designed to mitigate geopolitical risk, streamline the company’s operational structure, and reduce overall capital and operating expenditures. By offloading these assets to Beacon Interactive, a company controlled by Saber Interactive co-founder Matthew Karch, the organization aims to sharpen its focus on core intellectual properties and high-priority development projects.
The transaction is valued at USD 247 million, consisting of USD 203 million in promissory notes and the assumption of USD 44 million in earn-out debt, with potential for an additional USD 94 million in consideration. The deal also grants the buyer an option to acquire 4A Games and Zen Studios. Financially, the divestment is expected to reduce net debt by approximately SEK 2.1 billion and lower annual capital expenditure by roughly SEK 1.2 billion. While the company anticipates a non-cash net loss of approximately SEK 6.0 billion, the move is framed as a critical step in the broader corporate transformation strategy.
Data from the 2023 fiscal year indicates that the divested assets accounted for approximately 4% of net sales and 21% of the total internal headcount, representing roughly 2,950 employees and 38 projects. Following the divestment, Embracer Group retains a robust portfolio, including key titles such as Killing Floor 3 and Teardown, alongside several unannounced AAA and AA projects. This restructuring reflects a deliberate effort to optimize the company’s project pipeline and balance sheet, ensuring a more sustainable operational footprint for shareholders and stakeholders moving forward.
