The payment was split between cash and shares. Additional performance-based earn-outs could reach up to $350 million.
The acquisition of Aspyr Media by Embracer Group represents a strategic expansion of the latter’s development and publishing capabilities. The primary purpose of this transaction is to integrate Aspyr’s specialized expertise in porting, publishing, and game development into the Embracer ecosystem, specifically under the Saber Interactive division. By acquiring the Austin-based studio, Embracer aims to leverage Aspyr’s proprietary technology and established industry relationships to scale its reach across multiple platforms, including mobile, console, and PC.
Aspyr Media brings over 24 years of experience to the partnership, having produced more than 200 games and maintained long-standing relationships with 11 of the world’s 15 largest video game publishers. A core component of the studio’s value proposition is its proprietary technology, the Aspyr Studio Libraries, which reportedly reduces porting times by 75 percent. This technical infrastructure allows for the efficient adaptation of Windows-based games to various platforms, including macOS, Linux, iOS, Android, and current-generation consoles. The studio’s operational model emphasizes a mix of small, medium, and large-scale projects, ranging from low-risk market experiments to large-scale remakes of established intellectual property.
The financial structure of the deal involves an upfront purchase price of $100 million, split between cash and shares, with additional earn-out provisions totaling up to $350 million contingent upon future performance and the continued tenure of the founders. For the 12-month period ending in December 2020, Aspyr reported $40.6 million in revenue and $11.4 million in operational EBIT. Following the acquisition, Aspyr will continue to operate as an independent entity within the Saber Interactive group, maintaining its headquarters in Texas while utilizing the broader Embracer network to support its ongoing development and publishing initiatives.
