Motorsport Games Inc. has reached a significant turning point in its corporate legal affairs, successfully resolving two major disputes involving contractual obligations and securities litigation. These developments provide the company with greater operational clarity as it navigates its ongoing business activities in the motorsports simulation sector.
In February 2025, the company finalized a settlement agreement with Technology in Business B.V. and Luminis International B.V. regarding the acquisition of Studio397, the developer behind titles such as rFactor2 and Le Mans Ultimate. Under the terms of this agreement, Motorsport Games will pay $750,000 in five equal installments beginning in March 2025. Upon completion of these payments, all deferred obligations related to the 2021 share purchase agreement will be satisfied, and the associated security interest in Studio397 shares will be released.
Simultaneously, the U.S. District Court for the District of Delaware granted summary judgment in favor of Motorsport Games and its former executives in a securities fraud lawsuit filed by Innovate 2 Corp. The court rejected claims that the company’s earnings projections and forward-looking statements were misleading. The ruling emphasized that poor investment performance does not equate to securities fraud, noting that the plaintiff’s claims were further barred by existing release provisions within the original acquisition agreement for 704Games.
These legal resolutions conclude a period of uncertainty regarding the company’s financial liabilities and historical disclosures. By clearing these hurdles, the company effectively mitigates risks associated with past acquisition-related disputes and internal financial projections, allowing for a more stable outlook in its competitive gaming and simulation business segments.
