The acquisition has received unanimous approval from both companies' boards. It is expected to close in the fourth quarter of 2023.
GameSquare Holdings has announced a definitive agreement to acquire FaZe Clan, a move intended to stabilize the struggling esports organization and prevent its potential delisting from the Nasdaq. The acquisition, which received unanimous approval from the boards of both companies, is structured as an all-stock transaction expected to close in the fourth quarter of 2023. Upon completion, existing GameSquare shareholders will retain approximately 55% of the merged entity, while FaZe Clan shareholders will hold the remaining 45%.
The strategic rationale behind the acquisition focuses on revitalizing the FaZe Clan brand by reinstating its original founding members to leadership roles. Richard “FaZe Banks” Bengtson will serve as CEO, Thomas “FaZe Temperrr” Oliveira as President, and Yousef “FaZe Apex” Abdelfattah as Chief Operating Officer. Under the new ownership, FaZe Clan will operate as an independent division within the broader GameSquare portfolio, which already includes assets such as Complexity Gaming and various media and marketing agencies.
Financial measures supporting the transition include a $10 million commitment from Goff & Jones Lending Co, LLC for share purchases and an additional $10 million in potential liquidity via an asset-based loan facility from SLR Digital Finance LLC. Management aims to improve the combined entity's financial health by cutting operating costs by $18 million. While the announcement triggered a temporary surge in both companies' stock prices, the deal remains subject to standard closing conditions, including shareholder and regulatory approvals, with a termination deadline of December 31, 2023.
