The deal is expected to close in the first quarter of 2023. This marks a significant consolidation within the esports and gaming industry.
Shareholders of GameSquare and Engine Gaming and Media have officially approved a business combination, marking a significant consolidation within the esports and gaming industry. This all-stock transaction, initially announced in December 2022, is expected to close in the first quarter of 2023, pending final regulatory approvals. The combined entity will operate under the GameSquare brand and maintain a dual listing on the Nasdaq and TSXV exchanges under the ticker symbol GAME.
Under the terms of the agreement, Engine Gaming will acquire all outstanding common shares of GameSquare at an exchange ratio of 0.08262. Upon completion, GameSquare shareholders will hold approximately 60% of the new entity, while Engine Gaming shareholders will retain a 40% stake. The leadership structure will feature GameSquare CEO Justin Kenna as the top executive, with Engine Gaming CEO Lou Schwartz transitioning to the role of president. Key investors, including Dallas Cowboys owner Jerry Jones and Goff Capital founder John Goff, will remain the largest shareholders and continue to exert significant influence on the board of directors.
The merger aims to achieve profitability within 2023 by leveraging operational synergies, cost efficiencies, and projected revenue growth. The combined organization integrates a diverse portfolio of assets, including Complexity Gaming, Stream Hatchet, and various marketing, production, and analytics platforms. By uniting these specialized segments, the company intends to strengthen its position in the competitive gaming and digital media landscape.
