FY25 Trading Update

Frontier Developments achieved a robust financial performance in fiscal year 2025, underpinned by a strategic pivot toward Creative Management Simulation games. This segment now represents 77 percent of total revenue, demonstrating the success of the company’s focused portfolio strategy. Provisional revenue reached £90.6 million, with adjusted operating profits projected between £11 million and £12 million. This financial stability is further evidenced by a cash position of £42.5 million, marking a £13 million increase over the previous year. Consequently, the board has proposed a £10 million share buyback program to return value to shareholders. The company’s growth is anchored by its core franchises, with Jurassic World Evolution and Planet Zoo serving as primary revenue drivers. Notably, the launch of Planet Coaster 2 catalyzed a 200 percent year-over-year revenue increase for that specific franchise, while Elite Dangerous experienced a 76 percent surge following the implementation of new monetization strategies and content updates. These results reflect a successful transition toward a more efficient operational model, supported by the establishment of a new Executive Board designed to unify leadership and streamline internal processes. Looking toward the future, the company maintains a clear development pipeline to sustain its momentum. The release of Jurassic World Evolution 3 is scheduled for fiscal year 2026, followed by an additional, currently unannounced Creative Management Simulation title slated for fiscal year 2027. By concentrating resources on high-performing simulation titles and optimizing operational efficiency, the organization has positioned itself for continued growth within the global gaming market.

Półroczne sprawozdanie zarządu z działalności Grupy Kapitałowej: H1 2021

PCF Group S.A. demonstrated significant operational and financial expansion during the first half of 2021, driven by a strategic pivot toward becoming a leading independent global game developer. The company achieved 77.3 million PLN in revenue, representing a 47% year-over-year increase, and a net profit of 21.7 million PLN. This growth was underpinned by the successful launch of Outriders and the advancement of major projects such as Gemini and Dagger. To support its long-term objectives, the group aggressively scaled its production capabilities through the acquisition of Game On Creative, Inc. and the Phosphor Games development team in Chicago, while strengthening its capital base through a successful series B share issuance that raised over 100 million PLN. The group’s strategic evolution focuses on diversifying its portfolio into the AA segment and transitioning toward a self-publishing model. While the company maintains strong partnerships with major publishers like Square Enix, Gearbox, and Take-Two Interactive, it is actively working to reduce its reliance on external entities. Financial stability remains a core strength, characterized by a 185% increase in total assets and a robust cash position, which accounts for over half of the group’s total assets. The effective utilization of the IP Box tax incentive further bolsters profitability. Despite these gains, the group faces notable risks, including high dependency on specialized talent, potential delays in project timelines, and currency volatility. The absence of expected royalties from Outriders during this period highlights the inherent unpredictability of commercial success in the gaming industry. Moving forward, the group remains committed to its growth strategy, supported by a stable governance structure and a clear mandate to expand its intellectual property portfolio while navigating the competitive global market.

Management Board Report on the Activities of PCF Group: 2021

The 2021 Management Board Report for PCF Group S.A. details a year of significant financial growth and structural expansion for the Poland-based video game developer. The company’s primary thesis centers on a dual-track strategy: maintaining its established work-for-hire model for AAA shooter and action-RPG titles while simultaneously building internal self-publishing capabilities to secure long-term intellectual property rights. This transition is supported by a robust balance sheet, with total assets increasing by 182% to 256.9 million PLN and net profit rising by 150% year-over-year. Operational highlights for 2021 include the release of Outriders and the initiation of two major projects, Project Gemini and Project Dagger, both slated for completion by 2024. To support this scaling, the Group expanded its footprint through the establishment of a studio in Chicago and the acquisitions of Game On Creative and a majority stake in Incuvo S.A. Despite these successes, the company remains heavily reliant on external publishers for project financing and revenue, with over 80% of income derived from contract production. This concentration, combined with the milestone-based payment structure, creates inherent risks regarding revenue predictability and potential contract terminations. Corporate governance is characterized by a concentrated ownership structure, where a group of authorized shareholders holds significant influence, including personal rights to appoint members of the Management and Supervisory Boards. While the company maintains a stable financial position with high liquidity and no significant debt, it has opted out of several formal corporate governance and ESG standards, citing its current size and the need for operational agility. Moving forward, the Group intends to balance its reliance on third-party partnerships with the development of proprietary technology and internal publishing infrastructure to mitigate market volatility and enhance future profitability.

Półroczne sprawozdanie Zarządu z działalności Grupy Kapitałowej PCF Group S.A.: 1 stycznia 2024 – 30 czerwca 2024

PCF Group S.A. experienced a period of significant strategic realignment and financial volatility during the first half of 2024. The company’s primary objective remains the development of high-profile titles through a mix of proprietary projects and work-for-hire collaborations with major global publishers, including Microsoft, Square Enix, and Krafton. However, the organization faced substantial headwinds, characterized by the cancellation of several internal initiatives, including Projects Red, Dagger, and Dolphin. These cancellations, alongside the commercial underperformance of Bulletstorm VR and re-negotiated, less favorable terms for Project Gemini, necessitated significant asset write-downs exceeding 76 million PLN. Financially, the group reported a net loss of approximately 31.5 to 33.3 million PLN for the period, despite achieving a year-over-year revenue increase of roughly 11% to 29%. This discrepancy highlights the heavy burden of rising operational costs associated with ongoing development projects and the absence of expected royalties from legacy titles like Outriders. While the company maintains sufficient liquidity to meet current obligations, management has pivoted toward a revised strategy that involves securing approximately 350 million PLN in external financing between 2025 and 2026 and deferring the release of key proprietary titles to that same timeframe. Operational risks remain a central concern for the group, particularly regarding its heavy reliance on a limited number of external publishing partners and the high concentration of decision-making power held by CEO Sebastian Wojciechowski. The company also faces ongoing challenges related to talent retention, the complexities of hybrid work environments, and potential legal or technical risks associated with intellectual property and the integration of artificial intelligence. Moving forward, the group’s stability is contingent upon the successful execution of its revised development roadmap and the ability to navigate an increasingly competitive and capital-intensive global gaming market.

Annual Financial Report: PCF Group 2024

The 2024 financial performance of PCF Group reflects a period of profound strategic contraction and fiscal distress. The company reported a net loss of 228.6 million PLN, a significant deterioration from the 64.7 million PLN loss recorded in 2023. This downturn was primarily driven by massive impairment charges on intangible assets, most notably a 100% write-down of the "Bifrost" project and a substantial devaluation of its investment in Incuvo S.A. Consequently, the company’s liquidity position tightened considerably, with cash and cash equivalents falling from 97.8 million PLN to 34.4 million PLN by year-end. Faced with the failure to secure 350 million PLN in external funding, the company has abandoned its aggressive self-publishing ambitions in favor of a more conservative "work-for-hire" business model. This pivot involves the cancellation of "Projekt Red," the termination of VR publishing activities, and the downsizing of internal teams. Despite these operational setbacks, the company maintains its status as a going concern by implementing rigorous cost-balancing measures and securing new service-based partnerships with major industry players like Sony Interactive Entertainment and Krafton Inc. The company’s financial reporting remains strictly aligned with IFRS standards, utilizing the five-step revenue recognition model under MSSF 15 and applying the IP Box tax relief to mitigate fiscal pressure. While the company faces ongoing currency risks due to a mismatch between PLN-denominated costs and foreign-currency revenues, it currently eschews financial hedging instruments. Moving into 2025, the organization is focused on stabilizing its cash flow through its restructured service-oriented operations while selectively continuing development on key titles like "Victoria" to preserve long-term value.

Półroczne sprawozdanie Zarządu z działalności Grupy Kapitałowej PCF Group S.A.

PCF Group S.A. experienced a period of significant strategic realignment and financial volatility during the first half of 2025. The company’s primary objective remains the development of AAA and compact-AAA titles for consoles and personal computers, balancing a traditional work-for-hire model with an evolving self-publishing strategy. Despite a 51% increase in revenue to 115.3 million PLN, the group reported a net loss of 21.3 million PLN, driven by substantial asset write-downs and the cessation of key projects. Operational challenges dominated the period, most notably the termination of the Gemini project following a breakdown in communication with Square Enix Limited. This development, alongside the suspension of the Bifrost project, necessitated a workforce reduction of over 60 employees and triggered impairment charges totaling 10.8 million PLN. While the company continues to collaborate with major industry partners on titles such as Gears of War: E-Day, the reliance on external publishers remains a critical risk factor. Furthermore, the transition toward self-publishing, marked by the early access launch of Lost Rift, has placed additional strain on liquidity, resulting in negative operating cash flows and a 5% decline in total asset value. To address these financial pressures, the company secured additional funding through an issuance of series H shares, which altered the shareholder structure. Concurrently, internal governance underwent modifications, including a shift in personnel oversight to the Supervisory Board. The group faces ongoing risks related to intellectual property management, the integration of generative AI, and potential conflicts of interest within its corporate structure. Future stability is contingent upon the successful execution of remaining work-for-hire contracts and the ability to manage the high capital requirements inherent in proprietary game development.

Letter to Shareholders: 2024

The letter explains that 2024 was a challenging year for the video‑game industry and for PCF Group S.A., prompting decisive actions to protect financial stability. In April, the company discontinued the Dagger project after a partner withdrawal and recorded a 100 % write‑off of its costs, followed by the cancellation of Red in September. These decisions reduced consolidated earnings for the first half of 2024 and lowered fixed‑asset values by PLN 7.7 million. The board also halted work on Victoria and Bifrost in December, laying off over 120 employees; a PLN 154.964 million impairment was booked for Bifrost, while Victoria’s costs were retained due to an upcoming early‑access release. To counter market headwinds, the board launched a strategic options review in August aimed at securing external investment or restructuring. The effort failed, leaving the group to reassess short‑ and long‑term plans. Concurrently, the company tightened its self‑publishing pipeline, focusing on work‑for‑hire (WFH) contracts. In early 2024, a short‑term agreement with Square Enix for Gemini led to a workforce reduction of 30 staff, yet the project’s revenue only covered direct costs. New WFH deals were secured with Krafton (Echo), Sony Interactive Entertainment (Delta), and Microsoft (Project Maverick), bolstering revenue streams. The VR segment was largely exited, with Incuvo’s Bison slated as the final title. Game On, another subsidiary, saw limited improvement in 2024‑25. Overall, the letter acknowledges losses and staff cuts but stresses a commitment to rebuilding through strategic partnerships, focused development on AAA action titles, and continued investment in high‑quality games for a global audience.

Raport Bieżący Nr 13/2021: Przejęcie Zespołu Deweloperskiego Phosphor Games, LLC

The report details the acquisition of Phosphor Games’ development team by People Can Fly Chicago, LLC (PCF Chicago), a subsidiary of PCF Group S.A. The transaction occurred on 23 April 2021, with the new studio commencing operations on 1 May 2021. PCF Chicago secured an eighteen‑person team, including three founding members of Phosphor Games. Employment agreements were signed under PCF Group standards, incorporating a new bonus scheme, while confidentiality, non‑solicitation, and non‑compete clauses were enforced. Separation agreements terminated prior collaborations with Phosphor Games as of 30 April 2021. Liability protection was achieved through a joint indemnity commitment by Phosphor Games’ founders, shielding PCF Chicago and related entities from third‑party claims linked to former activities, including employment and tax obligations. Additionally, PCF Chicago assumed the lease of Phosphor Games’ Chicago office to serve as its headquarters. Financing for the acquisition was sourced from a loan granted on 31 March 2021 by People Can Fly U.S., LLC, a wholly owned subsidiary of PCF Group. The scope covers the United States, specifically Chicago and New York, within the video‑game development sector. The report reflects a corporate restructuring aimed at consolidating talent and assets under the PCF Group umbrella, enhancing operational efficiency and expanding its North American presence.

Raport Bieżący Nr 18/2022: Nabycie przez Square Enix Limited Prawa do Objecia Akcji PCF Group S.A.

The report informs that on 30 June 2022 Square Enix Limited (SQEX) exercised its right to acquire the fourth tranche of 90,000 subscription warrants (Series A4) issued by PCF Group S.A. Each warrant entitles SQEX to purchase one ordinary Series C share at an issue price of 50 PLN, matching the final public offering price approved by the Polish Financial Supervision Authority on 25 November 2020. The issuance of this tranche was triggered by PCF’s revenue from contracts with SQEX exceeding 180 million PLN. Under the investment agreement, SQEX may exercise its option to acquire Series C shares for each tranche received, up to a maximum of six tranches. By the date of this report, SQEX had accumulated 360 000 warrants across four tranches, allowing the purchase of an equivalent number of Series C shares. This represents roughly 1.2 % of PCF’s share capital and confers the same proportion of voting rights at general meetings. The company estimates that, if all six tranches were exercised, SQEX could ultimately acquire about 1.8 % of the share capital. The warrants can be exercised until 31 December 2025. PCF currently lacks information on SQEX’s intentions regarding the exercise of these rights. The report is dated 30 June 2022 and follows a prior disclosure (report no. 40/2021) concerning the initial investment agreement between PCF and SQEX.

Current Report No. 19/2022: Termination of Collaboration with Take-Two Interactive Software, Inc.

The report informs that on 23 September 2022 the board of PCF Group S.A. received a letter from Take‑Two Interactive Software, Inc., indicating its intention to terminate the production‑publishing agreement dated 21 July 2020 for the title Project Dagger. The board has reviewed the proposed termination agreement, which includes a favourable modification of settlement terms for the parties. The proposal differentiates repayment amounts based on whether the game will be released via self‑publishing or through a new publisher, and it does not contain any clause suggesting that Take‑Two intends to exercise an intellectual‑property buy‑out option. During the first half of 2022, PCF Group completed all work specified in the original contract’s schedule and received full contractual remuneration. Despite ongoing negotiations, no new execution agreement has been signed to continue development of Project Dagger. Consequently, the board expects the contract to be terminated under terms essentially matching those in the proposed agreement. Under International Financial Reporting Standard 38, costs incurred for further development of Project Dagger will be capitalised as intangible assets. This accounting treatment is projected to materially affect the group’s financial results for the first half of 2022 and will continue to influence subsequent reporting periods as development proceeds under a self‑publishing model. The group remains committed to continuing Project Dagger’s development using internal funds, with the possibility of debt financing or partnership with a new publisher. The board will provide additional updates on the termination in accordance with applicable legal requirements.
