Mobile Dev Memo
The acquisition represented a 20% premium on King's enterprise value and was valued at 8x its projected 2016 EBITDA.
The $5.9 billion acquisition of King Digital by Activision Blizzard, announced in November 2015, represents a strategic move to diversify revenue streams and capture a significant mobile gaming audience. The deal, which included a 20% premium on King’s enterprise value, is justified by a combination of tax efficiencies, projected cash flows, and access to specialized human capital and demographic segments.
Financial analysis indicates that the acquisition is highly tax-efficient. By utilizing $3.6 billion in offshore cash held by Activision Blizzard to fund the purchase, the company avoids substantial repatriation taxes. When combined with King’s existing cash reserves and projected free cash flows through 2020, these financial factors account for more than half of the total acquisition price. This structure mitigates the risk associated with the premium paid and provides a stable foundation for the investment.
Beyond the immediate financial mechanics, the acquisition provides Activision Blizzard with critical strategic assets. King offers access to a massive user base of approximately 330 million monthly unique users, 60% of whom are female—a demographic segment that is increasingly vital for growth in the gaming industry. Furthermore, the deal secures a pool of over 1,600 employees with specialized expertise in mobile-first product development, analytics, and user acquisition. These capabilities are difficult to replicate organically and allow the parent company to launch new, female-oriented intellectual property more cost-effectively. While operational risks remain regarding the potential decline of legacy titles like Candy Crush, the acquisition effectively positions the combined entity to navigate the shift toward mobile platforms and diversify its portfolio beyond traditional console gaming.
