PlayWay S.A. has formalized a strategic investment agreement leading to the establishment of Iron Wolf Studio S.A., a new joint-stock company based in Katowice, Poland. This corporate formation, finalized in February 2017, represents a collaborative venture between PlayWay and three individual shareholders: Bartosz Pluta, Artur Salwarowski, and Jerzy Klimowicz. The move aligns with PlayWay’s broader business model of incubating specialized development teams to expand its portfolio across different gaming formats.
The newly formed entity is capitalized at 100,000 PLN, divided into 1,000,000 shares with a nominal value of 0.1 PLN each. PlayWay S.A. holds a dominant majority position in the startup, having committed to acquiring 770,000 shares for a cash contribution of 77,000 PLN. The remaining 230,000 shares are distributed among the three individual shareholders, with Bartosz Pluta holding 90,000 shares and Artur Salwarowski and Jerzy Klimowicz holding 70,000 shares each.
Iron Wolf Studio S.A. is tasked with a dual-focus development strategy that bridges physical and digital gaming. Its primary operational objectives include the creation of a board game titled UBOOT: The Board Game, alongside the development of both computer and board game concepts for a project currently titled Prisoner. This structure indicates a specific focus on cross-media intellectual property development within the Polish gaming sector, leveraging PlayWay’s capital and the creative input of the founding partners.
