PCF Group S.A. has proposed a revised remuneration policy for its Management and Supervisory Boards, which will be reviewed at the Extraordinary General Meeting on November 13, 2024.
Management Board variable compensation is now capped at five times the individual's fixed annual salary.
Performance-based incentives for management are tied to net profit, stock price performance, and qualitative metrics such as game quality.
The new policy removes the requirement to link remuneration to specific, pre-defined strategic goals, granting the company greater flexibility in executive compensation.
Supervisory Board members will now receive additional fees for attending board and committee meetings, supplementing their existing fixed monthly compensation.
The updated framework explicitly excludes stock-based incentives for both the Management and Supervisory Boards.
The Supervisory Board retains the authority to temporarily deviate from the remuneration rules to ensure financial stability during exceptional circumstances.
