PlayWay S.A. formalized a strategic expansion of its development portfolio through the execution of an investment agreement and the subsequent establishment of Duality S.A. on December 11, 2017. Based in Warsaw, the new entity was founded with an initial share capital of 320,000 PLN, divided into 3.2 million shares at a nominal value of 0.10 PLN each. PlayWay S.A. secured a dominant 50% stake in the company by contributing 992,000 PLN for 1.6 million shares. The remaining equity was distributed among Tomasz Strzałkowski at 17.5%, Piotr Strzałkowski at 7.5%, and a group of six individual investors holding a combined 25% interest.
The agreement includes a structured capital increase mandate scheduled within ten months of the signing date. This provision requires raising the share capital to 400,000 PLN through the issuance of 800,000 new shares. PlayWay S.A., or a designated affiliate, is committed to acquiring 560,000 of these new shares for a minimum cash contribution of 364,000 PLN. This financial roadmap ensures sustained funding for the studio’s early-stage operations and growth.
Duality S.A. is positioned as a dedicated PC game development studio. Its primary operational objective is the completion and commercial release of the title currently known by the working name Blood Child. This formation aligns with the broader industry trend of major publishers establishing specialized satellite studios to diversify their intellectual property catalogs while maintaining significant equity control and oversight.
