Independent Auditor Report on Remuneration Statement 2022 — 11 bit studios S.A.
PricewaterhouseCoopers (PwC) conducted an independent assurance engagement to evaluate the 2022 Remuneration Report of 11 bit studios S.A., a prominent Polish game development company. The primary objective of the audit was to provide reasonable assurance regarding the report's completeness and compliance with Article 90g of the Act on Public Offering. The scope of the assessment focused on the compensation details for members of the Management Board and Supervisory Board for the fiscal year ending December 31, 2022.
The methodology employed by the auditors followed the National Standard on Assurance Engagements 3000 (Z), which aligns with International Standard on Assurance Engagements 3000. Procedures included comparing the report’s content against legal requirements, reviewing corporate resolutions regarding remuneration policies, and reconciling financial data with the company’s accounting records and source documents. The auditors also conducted inquiries with personnel responsible for preparing the report to ensure no significant facts were omitted or distorted.
The audit concluded that the Remuneration Report is complete and compliant in all material respects with the applicable regulatory framework. While the auditors provided a high level of assurance, they noted that the engagement did not constitute a full audit of historical financial information under National Auditing Standards. Responsibility for the accuracy of the data and its subsequent publication on the company's website remains with the Supervisory Board and Management Board. The findings were finalized in Warsaw on May 19, 2023, confirming that 11 bit studios met its statutory transparency obligations regarding executive compensation for the 2022 period.
