PCF Group S.A. issued up to 5,853,941 new Series F ordinary shares in mid-2023 to secure capital and strengthen its strategic development pipeline.
KRAFTON acquired 3,594,028 shares at 40.20 PLN per share, securing a 10% stake in PCF Group S.A. to deepen the partnership between the two companies.
The private subscription was restricted to qualified investors with a minimum commitment of EUR 100,000, with priority rights granted to existing shareholders holding at least 0.25% of voting rights as of February 28, 2023.
The offering was geographically limited to Poland, with explicit participation prohibitions for citizens and entities from Russia, Belarus, the United States, Australia, Canada, and Japan.
The issuance process concluded in early June 2023 following a late May book-building period.
Financial safeguards for the subscription mandate a full refund of the issue price within 14 days if the issuance is not finalized, though these refunds do not include interest or additional compensation.
