PlayWay S.A. increased the share capital of its subsidiary, Pentacle Sp. z o.o., from 200,000 PLN to 250,000 PLN following a resolution on November 8, 2018.
The capital expansion was funded by existing shareholders through the issuance of 200 new shares, totaling an aggregate investment of 182,500 PLN.
Following the recapitalization, PlayWay S.A. maintains a controlling interest in Pentacle Sp. z o.o. with 64% of the total share capital.
The primary objective of the 182,500 PLN investment is to strengthen the financial position and operational liquidity of the Katowice-based development studio.
This corporate action was executed to ensure the subsidiary has sufficient capital to meet its production goals within the Polish game development ecosystem.

The primary objective of this capital injection is to strengthen the financial position of the development studio, which operates within the broader Polish game development ecosystem. Upon the formal registration of this capital increase in the National Court Register, PlayWay S.A. will maintain a controlling interest in the entity, specifically holding 64% of the total share capital. This move reflects the parent company's ongoing commitment to managing its portfolio of specialized development teams and ensuring they possess the necessary liquidity to execute their production goals.
This corporate action was disclosed in compliance with European market abuse regulations regarding inside information. The scope of the transaction is limited to the internal corporate structure of the Polish gaming sector during the late 2018 period.
